Terms of Service

These Terms of Service govern your access to and use of the Academy250 platform and all services provided through it. By creating an account or using any Academy250 service, you agree to be bound by these Terms.

1. Definitions

In these Terms, the following capitalised words have specific meanings:

"Academy250", "we", "us", or "our" refers to Em.Skoulikaris LLC, a limited liability company registered in Wyoming, USA, with its registered address at 75 E 3rd St, Sheridan, WY 82801, USA, operating under the brand name Academy250.
"Platform" means the Academy250 software-as-a-service platform accessible at academy250.com, including all tools, features, Project Templates, and AI Wizards provided through it.
"Usage Pack" means a prepaid package of metered service access that a Maker purchases, comprising a defined quantity of Project Units.
"Project Units" means the platform-specific units of metered service access that a Maker receives upon purchasing a Usage Pack. Project Units are the single unit of measurement across the Platform. They hold no monetary value outside the Platform.
"Platform Access Time" means one of the two consumption pools into which a Maker may allocate Project Units. Platform Access Time is consumed based on active session usage and the consumption rate tier of the feature being used.
"AI Compute" means one of the two consumption pools into which a Maker may allocate Project Units. AI Compute is consumed when a Maker uses AI-powered features (AI Wizards), at a fixed per-operation cost.
"Allocation" means the act of distributing Project Units from a Maker's Usage Account into the Platform Access Time pool and/or the AI Compute pool.
"Usage Account" means the system record that tracks a Maker's Project Units and consumption history.
"Maker", "you", or "your" refers to any individual who registers for an account on the Platform or uses any Platform service.
"Dependent Account" means an account created and managed by a Primary Account Holder on behalf of a minor (under 18). Dependent Accounts are linked to, and supervised by, the Primary Account Holder who created them.
"Primary Account Holder" means an individual aged 18 or older who holds a full account and may create and manage Dependent Accounts for minors under their legal guardianship or parental authority.
"Project Template" means a structured, step-by-step project guide available on the Platform that Makers can access and follow using their Project Units.
"AI Wizard" means an AI-powered assistant feature on the Platform that helps Makers with project-related tasks, consuming AI Compute units per operation.
"Content" means any data, text, files, documents, or other materials that a Maker uploads, creates, or stores on the Platform.
"Merchant of Record" or "MoR" means polar.sh (polar.sh, Inc., or its affiliates), the third-party payment service provider that acts as the seller of record for all consumer transactions on the Platform, handling payment processing, VAT calculation, and tax remittance on behalf of Em.Skoulikaris LLC.

2. Nature of Service

2.1 Academy250 provides a software-as-a-service (SaaS) platform offering digital tools for project-based making, including Project Templates and AI Wizards. When you purchase a Usage Pack, you receive a non-transferable right to use Platform services, measured in Project Units.

2.2 The Platform is classified as digital goods and software access. Academy250 is not an educational institution, does not issue certificates or qualifications, and does not provide formal education services.

2.3 Project Units represent prepaid metered access to software functionality and hold no monetary value outside the Platform. Units cannot be:

  • Exchanged or converted to cash or any form of currency
  • Transferred to other accounts or third parties
  • Redeemed outside the Platform
Important: Academy250 does not operate as a financial institution, payment service, stored-value facility, or money transmitter. The purchase of a Usage Pack is a prepayment for software services, not a deposit of funds.

2.4 All transactions on the Platform are consumer (B2C) transactions. The Merchant of Record (polar.com) handles payment processing, VAT calculation, and collection in accordance with applicable consumer protection and tax laws.

3. Account Registration & Eligibility

3.1 Age tiers. Access to the Platform is governed by the following age requirements:

Age Account Type Requirements
18+ Full Account No restrictions. May also act as Primary Account Holder for Dependent Accounts.
16–17 Full Account with Parental Consent Requires verifiable parental or legal guardian consent before account activation.
Under 16 Dependent Account only Cannot register independently. Access only through a Dependent Account created and managed by a Primary Account Holder (18+).

3.2 Account creation. You agree to provide accurate, current, and complete information during registration. Each individual may maintain only one account.

3.3 Account security. You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@academy250.com if you become aware of any unauthorised use of your account.

3.4 One account per person. Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or any other restriction is prohibited.

3.5 Parental consent verification. For Makers aged 16–17, we will request verifiable parental or legal guardian consent as part of the registration process. We reserve the right to suspend any account if consent cannot be verified. The method of consent verification is described in our Privacy Policy.

4. Usage Packs & Purchasing

4.1 What you purchase. When you buy a Usage Pack, you purchase a defined quantity of Project Units. The exact number of Project Units included is displayed on the checkout page before you confirm your purchase. Every Usage Pack gives you full access to all tools, features, Project Templates, and AI Wizards on the Platform. The only difference between packs is the number of Project Units included.

4.2 Activation. Upon successful payment confirmation, your Project Units are added to your Usage Account automatically and become immediately available for allocation.

4.3 Pack types. We offer one-time Usage Packs at various tiers. The specific packs, their included Project Units, and their pricing are listed on the Platform's pricing page and may be updated from time to time. Changes to pricing do not affect Usage Packs already purchased.

4.4 No subscription obligation. Usage Packs are one-time purchases. There is no recurring subscription, no automatic renewal, and no ongoing financial commitment. You purchase additional Usage Packs only when you choose to.

4.5 Pack stacking. You may purchase additional Usage Packs at any time. New Project Units are added to your existing Usage Account. You do not need to exhaust your current units before purchasing a new pack. Larger packs may include bonus Project Units as described on the pricing page.

4.6 Account unit cap. The Platform may enforce a maximum amount of Project Units that can be held in a single Usage Account at any time. The current cap is published on the pricing page. If purchasing a new Usage Pack would cause your units to exceed the cap, the purchase will be blocked until your units fall below the threshold.

4.7 Purchasing for Dependent Accounts. Only Primary Account Holders (18+) may purchase Usage Packs. Units purchased by a Primary Account Holder may be used to fund Dependent Accounts under their management. Dependent Account holders cannot make purchases independently.

5. Project Units & Allocation

5.1 Single unit of measurement. Project Units are the single unit of measurement across the Platform. All Usage Packs are denominated in Project Units. All consumption is tracked in Project Units.

5.2 Allocation model. Before using Platform services, you distribute your Project Units into two consumption pools:

  • Platform Access Time — consumed based on active session duration and the consumption rate tier of the feature being used (see Section 6).
  • AI Compute — consumed when you use AI Wizards, at a fixed per-operation cost visible before each operation.

You choose the ratio of allocation between these two pools.

5.3 Re-allocation. You may adjust the allocation ratio at any time from your dashboard. Units that have been allocated to one pool but not yet consumed may be moved to the other pool. Once consumed, units cannot be recovered.

5.4 Consumption is irreversible. Once Project Units are consumed (whether from the Platform Access Time pool or the AI Compute pool), they cannot be recovered, reversed, or restored. Each unit of usage is final.

5.5 Expiration. Unused Project Units within a Usage Pack expire 12 months after the date of purchase. Each Usage Pack maintains its own expiration date (rolling expiration). When multiple packs are active, the system consumes units from the oldest pack first (first-in, first-out). We will send a notification to your registered email address 30 days before expiration. Expired units are forfeited and cannot be restored or refunded.

5.6 Usage visibility. Your current Project Units, pool allocations, and detailed consumption history are available in your Usage Account. We provide a usage ledger showing what was consumed, when, and on which project.

5.7 Metering mechanism. Project Units are a metering mechanism for service delivery. They do not constitute electronic money, stored value, prepaid instruments, gift cards, or any form of monetary instrument. The purchase of a Usage Pack is a prepayment for software services, not a deposit of funds.

6. Consumption & Metering

6.1 Variable consumption rates. The Platform uses variable consumption rates based on the value each feature provides. Not all features cost the same. The rate tiers are:

  • Free — navigation, dashboard browsing, and basic project overview consume no units.
  • Low rate — basic tools such as task manager, calendar, and project tracker.
  • Standard rate — standard Project Templates and content.
  • Premium rate — premium and advanced content, including Premium Libraries (see Section 8).
  • Fixed per operation — AI Wizards consume a fixed number of AI Compute units per operation, visible before you initiate the operation.

6.2 Rate visibility. The consumption rate tier is always visible before you enter a section or use a feature. You will see an indicator showing the applicable rate so you always know what you are about to spend.

6.3 Consumption tracking. Every unit consumed is logged in your usage ledger with the timestamp, feature used, duration (for time-based consumption), project context, and the number of units deducted.

6.4 Rate changes. We may adjust consumption rates from time to time to reflect changes in underlying costs or feature value. Rate changes will be announced at least 14 days in advance and will not affect units already consumed. Current rates are always published in the Platform's usage documentation.

Critical clause

7. No Monetary Value

This section is fundamental to the nature of the service. Please read it carefully.

7.1 Project Units are exclusively a metering mechanism for service delivery. They do not constitute, and must not be interpreted as:

  • Electronic money or e-money as defined by Directive 2009/110/EC
  • Stored value or prepaid monetary instruments
  • Gift cards, vouchers, or equivalent monetary instruments
  • Currency, virtual currency, or cryptocurrency of any kind
  • A deposit of funds held on behalf of the Maker

7.2 Units cannot under any circumstance be:

  • Exchanged for cash or any other form of payment
  • Transferred between users or accounts
  • Sold, bartered, or traded to third parties
  • Redeemed for goods or services outside the Platform
  • Used as collateral, security, or guarantee

7.3 Any attempt to use, advertise, or represent units as having monetary value outside the Platform, or any attempt to create a secondary market for units, is a material breach of these Terms and grounds for immediate account termination.

8. Premium Libraries & Downloadable Products

8.1 Premium Libraries. Certain content on the Platform (such as complete project courses, advanced workshops, or in-depth technical guides) is designated as a Premium Library. To access a Premium Library, you must pay a one-time unlock fee in Project Units. Once unlocked, the library remains permanently accessible on your account. After unlocking, you consume Platform Access Time at the applicable premium rate while using the library content.

8.2 Downloadable Products. Certain digital products (such as templates, documents, resource packs, and project files) may be purchased using Project Units. Upon purchase, the product is delivered to you digitally and is yours to keep permanently. The unit cost of each downloadable product is displayed before purchase.

8.3 Unlock and download permanence. Premium Library unlocks and downloadable product purchases are tied to your account. They remain accessible for the duration of your account, regardless of your remaining Project Units.

8.4 Refunds for unlocks and downloads. Premium Library unlocks and downloadable product purchases are covered by our standard 30-day refund policy. If you experience a technical issue preventing access to unlocked content or a downloaded product, contact billing@academy250.com within 30 days of purchase.

9. Pricing, Payment & Taxes

9.1 Pricing. Prices for Usage Packs are displayed on the Platform's pricing page in Euros (EUR). All prices are exclusive of applicable taxes unless otherwise stated at checkout.

9.2 Payment Processing. All payments are processed by a Merchant of Record on behalf of Em.Skoulikaris LLC. The Merchant of Record is the record seller and handles payment processing, VAT calculation, collection and remittance. By making a purchase, you also agree to the Merchant of Record's Terms of Service as they apply to payment processing.

9.3 VAT and Taxes. The Merchant of Record automatically calculates and collects VAT based on your location in accordance with applicable tax laws (including EU One-Stop Shop e-commerce rules where applicable). The price you see at checkout includes applicable VAT. Customers outside the EU may not be subject to EU VAT; you are responsible for any local taxes that apply in your jurisdiction.

9.4 Invoices. An invoice or payment receipt is generated for each purchase and sent to the email address you registered. Invoices are also accessible through your account's billing page.

9.5 Statement Descriptor. Charges will appear on your payment statement as "ACADEMY250" or similar descriptor as designated by the Merchant of Record.

10. Refunds & Cancellation

10.1 30-day refund guarantee. We offer a full refund within 30 days of your purchase date, for any reason. You do not need to explain why you are requesting a refund. This applies to all Usage Pack purchases made through the Platform, regardless of how many Project Units have been consumed at the time of the request.

10.2 How to request. To request a refund, contact billing@academy250.com within 30 days of the purchase date, providing your email address and order reference number. We will confirm approval within 1 business day. You may also initiate a refund directly through polar's buyer support portal at polar.sh.

10.3 Refund method. Approved refunds are issued to the original payment method via our Merchant of Record, polar.sh. Refunds are processed in the currency of the original transaction and typically appear on your statement within 5–10 business days after approval.

10.4 Account cancellation. You may close your account at any time by contacting support@academy250.com. There is no cancellation fee. Because the Platform operates on a pay-as-you-use model, there is no subscription to cancel. Project Units remaining at the time of account closure are deactivated. We recommend requesting a refund for unused units before closing your account if you are within the 30-day window.

11. Delivery of Digital Services

11.1 All products and services offered by Academy250 are exclusively digital. There are no physical products, shipments, or deliveries.

11.2 Delivery method. Upon successful payment confirmation from the Merchant of Record, Project Units are activated automatically in your Usage Account.

11.3 Delivery time. Activation typically occurs within seconds of payment confirmation. In exceptional circumstances (such as payment processor delays or scheduled maintenance), activation may take up to 24 hours.

11.4 Delivery issues. If your Project Units have not been activated within 24 hours of a confirmed payment, contact billing@academy250.com with your payment confirmation. We will investigate and resolve the issue promptly, including manual activation if necessary.

11.5 No shipping costs. As all services are delivered digitally, there are no shipping, delivery, or handling fees. The only charges are the Usage Pack price and any applicable taxes.

12. Acceptable Use

12.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. For the full Acceptable Use Policy, see academy250.com/acceptable-use.

12.2 You must not:

  • Use the Platform to violate any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems
  • Reverse-engineer, decompile, or disassemble any Platform component
  • Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written consent
  • Resell, sublicense, or provide third-party access to the Platform
  • Use AI Wizards to generate content that is illegal, harmful, deceptive, or infringes third-party rights
  • Circumvent usage metering, quota limits, or any access controls
  • Attempt to trade, sell, or create a secondary market for Project Units
  • Share account credentials or allow others to use your account

12.3 Violation of these rules may result in immediate suspension or termination of your account, forfeiture of remaining Project Units, and, where applicable, legal action.

13. Intellectual Property

13.1 Our IP. The Platform, including its software, design, architecture, Project Templates, AI Wizards, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Em.Skoulikaris LLC. These Terms do not grant you any ownership rights in the Platform. Your purchase of a Usage Pack grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform services for the duration and scope of your Project Units.

13.2 Your Content. You retain full ownership of all Content you upload, create, or store on the Platform. By using the Platform, you grant us a limited licence to host, process, and display your Content solely for the purpose of providing and improving the services you requested. We will not use your Content for any other purpose without your explicit consent.

13.3 AI-generated output. Content produced by the Platform's AI Wizards based on your inputs belongs to you, subject to applicable intellectual property laws in your jurisdiction. We make no claim of ownership over AI-generated output. However, we do not guarantee that AI-generated output is unique, original, or free from third-party IP claims.

13.4 Feedback. If you provide suggestions, ideas, or feedback about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback to improve our services without any obligation to you.

14. AI-Powered Features

14.1 Nature of AI Wizards. The Platform includes AI-powered features ("AI Wizards") designed to assist Makers with project-related tasks. These tools are provided as aids and do not replace professional judgement, legal advice, financial advice, or any other professional service.

14.2 No guarantees. AI-generated output may contain errors, inaccuracies, or biases. You are solely responsible for reviewing, validating, and deciding whether to rely on AI-generated output. We disclaim all liability for decisions made based on AI output.

14.3 Third-party AI providers. Some AI Wizards may utilise third-party AI models or APIs. Your use of such features is also subject to the applicable third-party terms. We will identify which providers are used in the Platform documentation.

14.4 AI usage metering. AI Wizard operations consume Project Units from your AI Compute pool. The rate of consumption varies by operation type, model used, and input/output volume. The unit cost of each AI operation is displayed before you initiate it.

15. Data Protection & Privacy

15.1 We process personal data in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and applicable data protection laws. Full details are provided in our Privacy Policy.

15.2 Data processing roles. When we process your account information (name, email, billing details) for providing the service, we act as data controller. When we process Content that you upload or create on the Platform on your behalf, we act as data processor.

15.3 Children's data. For Dependent Accounts (users under 18), we process personal data in accordance with GDPR Article 8 and applicable national laws regarding children's data. The Primary Account Holder is responsible for providing consent on behalf of the minor. We collect only the minimum data necessary for service provision and apply additional safeguards to children's data as described in our Privacy Policy.

15.4 Sub-processors. We use third-party sub-processors (including hosting providers, payment processors, and AI service providers) to deliver the service. A current list of sub-processors is available in our Privacy Policy.

Minors protection

16. Dependent Accounts & Minors

Academy250 takes the safety and privacy of minors seriously. This section sets out the rules for Dependent Accounts.

16.1 What is a Dependent Account. A Dependent Account is an account created and managed by a Primary Account Holder (aged 18 or older) on behalf of a minor under their legal guardianship or parental authority. The minor does not register independently — access is provisioned entirely through the Primary Account Holder.

16.2 Primary Account Holder responsibilities. By creating a Dependent Account, the Primary Account Holder:

  • Confirms they are the parent or legal guardian of the minor
  • Consents to the minor's use of the Platform under these Terms
  • Assumes full responsibility for the minor's activity on the Platform
  • Agrees to supervise the minor's use of the Platform as appropriate for their age
  • Is solely responsible for all purchases and unit allocation related to the Dependent Account

16.3 Dependent Account limitations. Dependent Accounts:

  • Cannot make purchases or financial transactions
  • Cannot modify account settings without the Primary Account Holder's authorisation
  • May have restricted access to certain features as determined by the Primary Account Holder or by the Platform's age-appropriate content policies
  • Are always visible to and manageable by the Primary Account Holder

16.4 Team communication for Dependent Accounts. Dependent Account holders may participate in team communication features within projects. The Primary Account Holder has visibility into all communications involving their Dependent Accounts.

16.5 Termination of Dependent Accounts. A Primary Account Holder may close a Dependent Account at any time. If a Primary Account Holder's account is terminated, all linked Dependent Accounts are also terminated. Content from Dependent Accounts is available for export during the 30-day period described in Section 20.5.

16.6 Age verification. We reserve the right to request age verification at any time. If we have reason to believe that an account holder is under 16 and does not have a linked Primary Account Holder, or that a Maker aged 16–17 has not obtained parental consent, we may suspend the account until verification is completed.

17. Service Availability & Modifications

17.1 Availability. We strive to maintain high Platform availability but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our control.

17.2 Scheduled maintenance. We will provide reasonable advance notice (typically 48 hours) for planned maintenance that may cause service disruption, via email notification or in-platform announcement.

17.3 Service modifications. We reserve the right to modify, update, or discontinue any feature of the Platform at any time. If a modification materially reduces the functionality you purchased access to, we will provide at least 30 days' notice before the change takes effect. In such cases, you may request a pro-rata restoration of Project Units for the affected portion of your Usage Pack.

17.4 Platform discontinuation. If we decide to permanently discontinue the Platform, we will provide at least 90 days' notice and offer a pro-rata refund for unused Project Units.

18. Limitation of Liability

18.1 Service provided "as is". The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

18.2 Liability cap. To the maximum extent permitted by law, the total aggregate liability of Em.Skoulikaris LLC arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount you have paid to us in the 12 months immediately preceding the event giving rise to the claim.

18.3 Exclusion of consequential damages. To the maximum extent permitted by law, Em.Skoulikaris LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption, however caused and regardless of theory of liability.

18.4 AI output. We are not liable for any loss, damage, or claim arising from reliance on AI-generated output. AI Wizards are productivity tools, not professional advisory services.

18.5 Dependent Accounts. The Primary Account Holder assumes all liability for the use of the Platform by their Dependent Account holders. We are not liable for any issues arising from a minor's use of the Platform under a Dependent Account.

18.6 Mandatory consumer rights. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death, or personal injury caused by negligence, or any mandatory consumer protection rights under EU or national law.

19. Indemnification

19.1 You agree to indemnify, defend, and hold harmless Em.Skoulikaris LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform in violation of these Terms
  • Your Content or any data you process through the Platform
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • The use of the Platform by any Dependent Account holder linked to your account

19.2 This indemnification obligation applies to the extent permitted by applicable law and does not apply where the claim results from our own gross negligence or wilful misconduct.

20. Termination

20.1 Termination by you. You may close your account at any time by contacting support@academy250.com. Upon account closure, any remaining Project Units are forfeited and are not refundable, unless otherwise required by applicable law.

20.2 Termination by us. We may suspend or terminate your account at any time if:

  • You breach these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • Your use of the Platform poses a security risk to us or other users
  • We are required to do so by law or regulatory order
  • Your account has been inactive for more than 24 consecutive months

20.3 Notice. Except in cases of material breach, fraud, or security risk (where immediate action may be necessary), we will provide at least 14 days' written notice before terminating your account.

20.4 Effect of termination. Upon termination:

  • Your access to the Platform is revoked
  • Any remaining Project Units are forfeited
  • Your Content will be available for export for 30 days after termination, after which it may be permanently deleted
  • Premium Library unlocks and downloaded products remain accessible during the 30-day export period
  • All linked Dependent Accounts are also terminated
  • Sections of these Terms that by their nature should survive termination (including Sections 7, 13, 18, 19, and 21) will continue to apply

20.5 Data export. Before or within 30 days after account closure, you may request an export of your Content by contacting support@academy250.com. We will provide your data in a standard, machine-readable format.

21. Governing Law & Dispute Resolution

21.1 Governing law. These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

21.2 Informal resolution. Before initiating any formal dispute proceeding, you agree to first contact us at legal@academy250.com and attempt to resolve the dispute informally for a period of at least 30 days.

21.3 Jurisdiction. If informal resolution is not successful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be submitted to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, USA.

21.4 EU consumer rights reservation. If you are a consumer located in the European Union, nothing in this Section prevents you from bringing proceedings in the courts of the EU Member State in which you are domiciled, in accordance with mandatory provisions of Regulation (EU) No 1215/2012 (Brussels I bis). If the EU Online Dispute Resolution platform is applicable to your situation, it can be accessed at https://ec.europa.eu/consumers/odr.

21.5 Limitation period. Any claim arising under these Terms must be brought within one (1) year after the cause of action accrues, except where a longer period is required by mandatory applicable law.

22. General Provisions

22.1 Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and Em.Skoulikaris LLC regarding the Platform. They supersede all prior agreements, representations, and understandings.

22.2 Amendments. We may amend these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your registered address and/or a prominent notice on the Platform. Continued use of the Platform after the effective date of the amendment constitutes acceptance of the updated Terms. If you do not agree, you may terminate your account in accordance with Section 20.1.

22.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

22.4 No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

22.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity, provided that the assignee agrees to be bound by these Terms.

22.6 Force majeure. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet or power outages, or third-party service failures.

22.7 Notices. Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@academy250.com or by mail to: Em.Skoulikaris LLC, 75 E 3rd St, Sheridan, WY 82801, USA.

22.8 Language. These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency.
